1. Agreement to terms
These clauses are drafting notes only. They do not yet identify a contracting entity, form an offer, or become binding merely because someone views or tests the closed-beta Service. Final terms must be approved and presented for acceptance before they take effect.
2. Description of service
Carfolio is a vehicle data portfolio for organizing records that users add. The closed-beta feature set may change and some document processing, AI, notification, handoff and paid-plan capabilities depend on production providers or remain held. Only functionality actually enabled in the product should appear in the final terms.
3. Account and credentials
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it updated. Notify us immediately of any unauthorised use.
4. Acceptable use
You agree not to misuse the Service. Prohibited conduct includes: unlawful use; fraud or spam; intellectual property infringement; security interference (malware, probing, scraping); reverse engineering; circumventing technical limits; reselling or redistributing access; and uploading content you do not have rights to.
5. Intellectual property
Carfolio retains all ownership rights in the Service, its software, documentation, branding, and underlying technology. You retain ownership of your vehicle data and uploaded content. You grant us a limited, non-exclusive license to host, process, and display your content solely to provide the Service.
6. Subscriptions and payments
Paid subscriptions and checkout are disabled during the closed beta. Any future paid offer must identify the merchant, price, taxes, renewal and cancellation terms before the user commits. Stripe is the proposed payment processor, subject to final configuration and approval.
No payment-card handling statement applies until the production billing flow and responsibilities have been verified.
For Stripe's handling of payment data, please refer to Stripe's Privacy Policy. The final terms must match the actual checkout, renewal, cancellation and billing portal behavior.
7. Service level
We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. The Service is provided "as is". We disclaim all implied warranties (merchantability, fitness for purpose) to the fullest extent permitted by law.
8. AI-generated content
Carfolio uses AI to analyse documents, categorise receipts, and generate service recommendations. AI outputs may be inaccurate and are for informational purposes only. You are responsible for verifying AI-generated data before acting on it. Carfolio is not liable for decisions made based on AI recommendations. AI outputs are not a substitute for professional mechanical or legal advice.
9. Liability
To the fullest extent permitted by law, our aggregate liability is capped at the total fees you paid in the 12 months preceding the claim. We exclude liability for indirect, consequential, or special damages (loss of profits, data, goodwill), except where prohibited by law (fraud, death, or personal injury).
10. Indemnity
You agree to indemnify and hold harmless the Carfolio legal entity and its representatives from any claims arising out of your content, unlawful use of the Service, or violation of these Terms.
11. Suspension and termination
A final suspension and termination policy must define applicable grounds, notice, appeal where appropriate, export availability and deletion timing. This draft does not promise a specific export or deletion period and must stay aligned with the final privacy notice.
12. Governing law and disputes
Austrian law and Vienna are the current drafting proposal. Consumer protections, mandatory jurisdiction rules and the contracting entity's details require legal review before any governing-law or forum clause is published.
13. Changes to terms
We may update these Terms from time to time. Material changes will be notified via email or in-app notice. Continued use of the Service after changes constitutes acceptance.
